1. Agreement to Terms

By accessing and using the services provided by Reimagined Works ("we," "our," or "us"), you agree to be bound by these Terms of Service. If you do not agree to these terms, please do not use our services.

2. Services

We provide comprehensive web development and digital services, including but not limited to:

  • Custom website and web application development
  • E-commerce solutions and integrations
  • Progressive Web Applications (PWAs)
  • API development and integration
  • Performance optimization and security hardening
  • Technical consulting and architecture planning
  • Ongoing maintenance and support

The specific scope, deliverables, timeline, and acceptance criteria for each project will be detailed in a separate Statement of Work (SOW) or Master Services Agreement (MSA).

3. Client Responsibilities

To ensure project success, clients are responsible for:

  • Providing accurate and timely information, including but not limited to:
    • Project requirements and specifications
    • Brand guidelines and assets
    • Content and copy
    • Access credentials to necessary services
  • Reviewing and approving deliverables within agreed timeframes
  • Making payments according to the agreed schedule
  • Ensuring they have proper rights and licenses for all provided content
  • Designating a primary point of contact for project communication
  • Participating in scheduled project meetings and reviews
  • Providing timely feedback and decisions to maintain project momentum

Failure to meet these responsibilities may impact project timelines and deliverables.

4. Intellectual Property

Upon receipt of full payment, clients receive the following rights:

  • Ownership of the final deliverables
  • Perpetual license to use custom code developed specifically for the project
  • Right to modify and maintain the delivered work

Reimagined Works retains ownership of:

  • Pre-existing code, frameworks, and development tools
  • Proprietary methodologies and processes
  • Reusable components developed during the project
  • Development tools and configurations

Any third-party materials (e.g., stock photos, fonts, plugins) are subject to their respective licenses, which will be documented in the project deliverables.

5. Payment Terms

Our standard payment structure is as follows:

  • 40% non-refundable deposit to initiate the project
  • 30% upon completion of development phase
  • 30% upon project completion and final delivery

Additional terms:

  • Invoices are due within 14 days of issuance
  • Late payments incur a 1.5% monthly interest charge
  • Development work may be paused if payments are overdue
  • All quoted prices are in USD unless otherwise specified
  • Additional work beyond the original scope will be quoted separately

6. Project Timeline

Project timelines are established in the SOW and may be affected by:

  • Client response times for reviews and approvals
  • Changes to project scope or requirements
  • Technical challenges or third-party dependencies
  • Resource availability and scheduling conflicts

Timeline Management:

  • Weekly progress updates will be provided
  • Delays will be communicated promptly with mitigation plans
  • Major milestones will be tracked and reported
  • Change requests may require timeline adjustments

7. Confidentiality

We maintain strict confidentiality of:

  • Client business information and strategies
  • Project specifications and requirements
  • User data and analytics
  • Technical infrastructure details
  • Financial arrangements and pricing

Portfolio Rights:

  • We may request permission to showcase completed work
  • Client testimonials will be used only with explicit approval
  • Confidential information will be excluded from portfolio pieces

8. Limitation of Liability

Our liability is limited to:

  • The total amount paid for services
  • Direct damages proven to result from our negligence

We are not liable for:

  • Consequential or indirect damages
  • Lost profits or business opportunities
  • Data loss or security breaches not caused by our negligence
  • Third-party service disruptions
  • Issues arising from client-provided content or requirements

9. Termination

Termination Process:

  • 30 days written notice required for termination
  • Payment required for all work completed
  • Transition assistance available at standard rates
  • All project assets will be provided upon final payment

Immediate termination allowed for:

  • Material breach of agreement
  • Non-payment of invoices
  • Unethical or illegal activities
  • Bankruptcy or insolvency

10. Changes to Terms

Terms may be updated to reflect:

  • Changes in services offered
  • Legal or regulatory requirements
  • Industry best practices
  • Business operations improvements

Change Management:

  • 30 days notice for material changes
  • Email notification to active clients
  • Changes posted on website with effective date
  • Prior versions available upon request
